These Terms & Conditions govern your access to and use of Voivera ("Service"), operated by Cookie Webster Co., Ltd. ("Voivera", "we", "our", or "us"). By using the Service, you agree to these Terms.
1. Services
Voivera provides software and online tools for real estate businesses, including but not limited to:
- Property listings
- Lead management
- CRM features
- Viewing management
- Websites
- Analytics and reporting
- Rental and sales management
- Short-term booking features
- Payment integrations
- Other related services
Voivera is a software provider only and is not a real estate broker, agent, legal advisor, financial advisor, escrow service, or party to transactions between users and third parties.
2. User Accounts
You are responsible for:
- Maintaining account security.
- Protecting passwords and login credentials.
- Providing accurate information.
- All activities occurring under your account.
3. Subscription and Billing
Subscriptions are billed monthly or annually.
Unless required by law:
- Subscription fees are non-refundable.
- Setup fees are non-refundable once work has commenced.
- Custom development fees are non-refundable.
- Lack of usage does not entitle customers to refunds.
We reserve the right to modify pricing with reasonable notice.
Failure to pay may result in suspension or termination.
4. Cancellation
Customers may cancel their subscription at any time.
Cancellation prevents future billing but does not entitle customers to refunds for unused periods.
Access will remain active until the current paid period expires.
5. User Content
Users retain ownership of information uploaded to the platform.
Users are solely responsible for:
- Listings
- Property descriptions
- Photos
- Documents
- Leads and customer data
- Rental information
- Booking information
Users agree not to upload unlawful, misleading, defamatory, fraudulent, or harmful content.
6. Acceptable Use
Users agree not to:
- Use the Service unlawfully.
- Upload malware or malicious code.
- Attempt unauthorized access.
- Reverse engineer or copy the platform.
- Interfere with system performance.
- Scrape or overload the Service.
- Violate intellectual property rights.
Violation may result in suspension or termination without notice.
7. Data Processing
Customers remain responsible for personal information stored within the Service.
Voivera acts solely as a processor of customer data for the purpose of providing the Service.
We may use trusted third-party providers, including hosting, analytics, email, and payment service providers.
8. Data Backups
Although reasonable backup procedures are performed, customers remain responsible for maintaining copies of important information.
Voivera does not guarantee against accidental loss or corruption of data.
9. Beta Features
Experimental or beta features are provided "as is" and may contain errors or interruptions.
Use of beta features is entirely at your own risk.
10. Availability
We strive to provide reliable service but do not guarantee uninterrupted or error-free operation.
Outages, maintenance, cyberattacks, and failures of third-party providers may affect availability.
11. Third-Party Services
Voivera may integrate with third-party providers.
We are not responsible for the availability, accuracy, or security of third-party services.
12. Intellectual Property
Voivera and all related software, designs, branding, and content remain the property of Cookie Webster Co., Ltd.
No part of the Service may be copied, reproduced, resold, or distributed without written permission.
13. No Warranty
The Service is provided on an "as is" and "as available" basis without warranties of any kind.
14. Limitation of Liability
Voivera shall not be liable for:
- Loss of profits
- Loss of data
- Lost opportunities
- Business interruption
- Indirect or consequential damages
Our maximum liability shall not exceed the fees paid by the customer during the previous twelve months.
15. Indemnification
Users agree to indemnify and hold harmless Voivera, Cookie Webster Co., Ltd., employees, directors, and affiliates from claims, losses, liabilities, and expenses arising from use of the Service or violations of these Terms.
16. Force Majeure
Voivera shall not be liable for failures caused by circumstances beyond our reasonable control, including natural disasters, internet outages, cyberattacks, governmental actions, labor disputes, and third-party service failures.
17. Termination
Accounts violating these Terms may be suspended or terminated.
Customers should export their information before cancellation.
18. Changes
We may revise these Terms periodically.
Continued use constitutes acceptance of revised Terms.
19. Governing Law
These Terms shall be governed by the laws of Thailand.
Any disputes shall be subject to the exclusive jurisdiction of the courts of Phuket, Thailand.
Marketplace Exposure and Listing Publication
Disclaimer. Voivera (Cookie Webster Co., Ltd.) is a software platform only. Voivera is not responsible for the accuracy, legality, or completeness of Marketplace Content supplied by Tenant agencies. Each Tenant agency is solely responsible for its listing information, authority to advertise, photographs, prices, and communications with inquirers. Voivera does not become the property owner, seller, landlord, developer, or listing agent merely by displaying a listing or delivering an inquiry.
1. Marketplace Exposure
1.1. Voivera provides a marketplace exposure service that allows eligible property listings created or managed through the Voivera platform to be displayed on the Voivera Marketplace and other Voivera-operated websites, applications and promotional channels.
1.2. Marketplace Exposure may be enabled during account registration, subscription activation or through the Tenant’s account settings.
1.3. When Marketplace Exposure is enabled, property listings marked by the Tenant as “Active” and “Public,” or using equivalent visibility settings, may be published automatically on the Voivera Marketplace without requiring separate approval for each property.
1.4. Listings marked as private, draft, confidential, internal, withdrawn, sold, rented, expired or otherwise unavailable will not knowingly be published on the Voivera Marketplace.
1.5. The Tenant may disable Marketplace Exposure for its entire account or for an individual property at any time using the controls provided within the Voivera platform.
2. Tenant Authorization
2.1. By enabling Marketplace Exposure, the Tenant instructs and authorizes Voivera to: (a) retrieve eligible property information from the Tenant’s Voivera account; (b) reproduce and display eligible listings on the Voivera Marketplace; (c) synchronize listing information, prices, status, availability, photographs and other permitted content; (d) display the Tenant’s business name, agency branding and approved contact information; (e) collect inquiries submitted in connection with the Tenant’s listings and deliver those inquiries to the Tenant’s Voivera account; (f) promote eligible listings through Voivera’s search pages, location pages, newsletters, social media accounts, advertising campaigns and other marketing channels; and (g) make technical and presentational modifications reasonably necessary to display, index, distribute and promote the listings.
2.2. This authorization remains effective while Marketplace Exposure is enabled and the Tenant’s Voivera account remains active.
3. Licence Granted to Voivera
3.1. The Tenant grants Voivera a non-exclusive, worldwide, royalty-free and revocable licence to host, store, reproduce, display, format, resize, crop, translate, summarize, distribute and promote the Marketplace Content solely for operating the Marketplace, displaying and promoting the Tenant’s listings, generating and delivering inquiries, improving discovery, promoting Voivera and the Tenant, and providing related analytics.
3.2. “Marketplace Content” includes property descriptions, prices, specifications, locations, maps, photographs, videos, floor plans, documents intended for public viewing, development information, agency information, logos and other content the Tenant marks or reasonably presents as public listing content.
3.3. The licence does not transfer ownership of the Marketplace Content to Voivera.
3.4. Voivera may allow hosting, search, CDN, analytics and other service providers to process Marketplace Content only as reasonably necessary to operate and promote the Marketplace.
3.5. Voivera will not knowingly sell or license the Tenant’s photographs, property descriptions or other Marketplace Content to an unrelated third party for that third party’s independent use without additional authorization.
4. Tenant Representations and Responsibilities
4.1. The Tenant represents and warrants that it owns or has authority to publish Marketplace Content; has authority to advertise the property; publication does not breach exclusive agency, confidentiality, IP, privacy or law; listing information is accurate and not misleading; prices and availability are genuine; media may lawfully be published; Marketplace Content does not contain confidential personal data that should not be public; and it will promptly update or remove listings that become unavailable or inaccurate.
4.2–4.4. The Tenant is responsible for reviewing listing data before publication, must not publish fake or unlawfully advertised properties, and must not upload malware, discriminatory statements, unlawful claims, misleading investment guarantees or infringing material.
5. Automatic Synchronization
5.1–5.2. Voivera may automatically synchronize eligible Marketplace Content. Changes to the source listing may be reflected on the Marketplace automatically; synchronization may not always be immediate. Target technical removal from Voivera’s public Marketplace pages after withdrawal or deactivation is ordinarily within 24 hours, subject to system availability and caching.
5.3–5.5. Voivera may display added/modified/verified dates; may hide, reduce visibility of or remove listings that are stale, inaccurate, complained about, duplicative, unlawful or harmful to Marketplace quality; and may request verification before restoring publication.
6. Presentation and Modification
6.1–6.5. Voivera may resize photographs, adjust formatting, reorganize information, create excerpts and metadata, and use automated translation/summarization where offered. Voivera will not knowingly change material facts such as price, ownership status, bedrooms, location or availability without Tenant information or authorization. The Tenant remains responsible for reviewing automated content. Voivera may place its own branding, navigation, advertising and recommendations around Marketplace Content.
7. Agency Attribution and Inquiries
7.1–7.6. Voivera will normally identify the Tenant as the listing provider. Inquiries on a listing are ordinarily delivered to that Tenant. Voivera does not become the agent or party to the transaction. The Tenant is responsible for responding, verifying customers, viewings, disclosures, negotiation, legal documents and regulatory compliance. Voivera does not guarantee views, rankings, inquiries or transactions. Spam detection and rate limits may delay, block or misclassify an inquiry.
8. Leads and Personal Data
8.1–8.7. Marketplace inquiry personal data is processed under Voivera’s Privacy Policy and, where applicable, the agreement with the Tenant. Inquiry data may be shared with the listing Tenant. The Tenant may use it only to respond and provide related services (or other lawful disclosed purposes), must not sell or misuse it, and must not place private personal data in public listing fields. Private CRM notes, identity documents and non-public customer information are not Marketplace Content.
9–11. Location, Search Engines, Withdrawal
The Tenant is responsible for location-privacy choices and must not publish sensitive security or occupant details without authority. Marketplace listings may be indexed by search engines; disabling a listing does not guarantee immediate removal from third-party caches. The Tenant may withdraw by disabling Marketplace visibility, changing status to private/draft/sold/rented/withdrawn/unavailable, or disabling account Marketplace Exposure. Voivera may retain internal backups for security and legal compliance but will not intentionally keep withdrawn listings published.
12. Complaints and Intellectual Property
Report Marketplace Content complaints to info@voivera.com. Voivera may investigate and remove or restrict content. Tenants must cooperate with evidence requests. Repeated infringement or deception may result in suspension or termination of Marketplace Exposure or the account.
13–14. Availability and Fees
Voivera may modify, suspend or discontinue Marketplace features for maintenance, security, legal, product or commercial reasons. Marketplace Exposure may be included in selected plans or offered without an additional publishing fee. Voivera will not charge a new marketplace commission, lead fee or publication fee unless clearly disclosed and accepted first. Optional paid promotion (featured placement, sponsored listings) is voluntary unless included in the Tenant’s plan.
15. Responsibility and Indemnification
The Tenant remains responsible for Marketplace Content and resulting communications. To the extent permitted by law, the Tenant is responsible for losses arising from infringing content, lack of advertising authority, materially false listings, unlawful use of inquiry data, or breach of these Marketplace conditions. Nothing excludes liability that cannot lawfully be limited.
16. Relationship With Other Terms
These Marketplace conditions form part of the Voivera Terms and Conditions. The Privacy Policy governs Voivera’s collection and use of personal data. Where Voivera processes personal data solely on the Tenant’s documented instructions, the applicable Data Processing Agreement governs. If these conditions conflict with a separately signed enterprise agreement, that agreement controls to the extent of the conflict. Governing law and courts remain as stated in the main Terms (Thailand; courts of Phuket, Thailand).
